This license for Visual Paradigm software is designed to guarantee freedom to use the software for academic purposes. Visual Paradigm grants the recipient a non-transferable license to use the Software furnished hereunder, upon the terms and conditions set out below.

This license applies to you, the recipient, only if you are a member of a non-commercial and academic institution, e.g., a university. The license expires as soon as you are no longer a member of this institution.

This is a legal agreement between you, the recipient, and Visual Paradigm. By accepting, receiving, and using this Software, you are agreeing to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, promptly return the Software to Visual Paradigm.

The recipient agrees to use the Software solely for non-commercial classroom teaching and shall not distribute or transfer it to another location or to any other person without prior written permission from Visual Paradigm.

You may make a copy of the Software solely for use as backup and not to be sold, loaned, leased, gifted, or otherwise transferred or used by any other person. You may make additional copies of the User Documentation for internal purposes.

You may use the Software only on computers that are part of the Academic Institution's internal network domain.

Except as otherwise provided herein, you may use the Software only on computers that are located at the Academic Institution's permanent facilities.

You may use the Software Product on portable computers used by Academic Institution staff when traveling on Academic Institution business.

You may use the Software on computers under the direct control of the Academic Institution at any field stations or temporary remote sites provided that such computers are secured from unauthorized copying or distribution or use of the Software Product and that Software Product is removed from such computers when they are no longer under the direct control of the Academic Institution.

You may use the Software Product on desktop and portable computers at home for teaching, learning, research, and non-commercial activities.

You may not provide the Software Product for use by anyone after their relationship with the Academic Institution ends.

You may not provide the Software Product for use by anyone except professors, teachers, instructors, students, administrators and other personnel employed by, enrolled in, or volunteering at the licensed Academic Institution department.

The academic license starts effective from the date a subscription is approved by Visual Paradigm. The licensing period last for one year. Visual Paradigm is under no obligation to extend any academic license to longer period of time.

Title and copyright to the Software and any associated documentation shall at all times remain with Visual Paradigm, and the recipient agrees to preserve the same. The recipient agrees not to make any copies except for its internal use in the above laboratory without prior written consent of Visual Paradigm.

Every publication and presentation for which work based on the Software or its output has been used must contain an appropriate citation and acknowledgement of Visual Paradigm.

You may not copy, modify, sublicense, or distribute the Software. Any attempt to copy, modify, sublicense, or distribute the Software will automatically terminate your rights under this License.

You are not required to accept this License, since you have not signed it. However, nothing else grants you permission to use, modify, or distribute the Software or its derivative works. Law prohibits these actions if you do not accept this License. Therefore, by using, modifying or distributing the Software (or any work based on the Software), you indicate your acceptance of this License and all its terms and conditions for copying, distributing or modifying the Program or works based on it.

NO WARRANTY

There is no warranty for the program to the extent permitted by applicable law. The copyright holders provide the program "as is" without warranty of any kind, either expressed or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose. The entire risk as to the quality and performance of the program is with you. Should the program prove defective, you assume the cost of all necessary servicing, repair, or correction.

Visual Paradigm does not warrant that the Software will be free from errors or will meet your specific requirements. You assume complete responsibility for decisions made or actions taken based on information obtained using the Software. Any statements made concerning the utility of the Software are not to be construed as expressed or implied warranties.

THE SOFTWARE IS LICENSED ON AN "AS IS" BASIS WITHOUT WARRANTY OF ANY KIND. VISUAL PARADIGM EXCLUDES ANY AND ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL VISUAL PARADIGM BE LIABLE TO YOU OR TO ANY THIRD PARTY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO ECONOMIC LOSS OF ANY KIND SUCH AS LOSS OF BUSINESS OPPORTUNITY, LOSS OF PROFITS OR SAVINGS, COSTS ARISING FROM RELIANCE ON FAULTY OUTPUT, COSTS OF CAPITAL, INJURY TO GOODWILL, LOSS OF PRODUCTIVITY OR LOSS OF OR INJURY TO PROPERTY, REGARDLESS OF WHETHER VISUAL PARADIGM IS ADVISED, HAS OTHER REASON TO KNOW, OR KNOWS OF THE POSSIBILITY THEREOF.
